Start With Investment Registration

“MISA licence Saudi Arabia” remains a common search phrase, but Saudi Arabia’s updated Investment Law replaced the previous foreign-investment licensing model with an investment-registration system.

A foreign investor must register with the Ministry of Investment before conducting an investment activity. After receiving confirmation that the registration is complete, the investor can proceed with the Commercial Registration and any licences required by other authorities.

The process

Saudi Company Formation Process

A typical sequence after the investment-registration position is understood. Further evidence or sector licences may still be required.

    Confirm the activity and investor eligibility

    Define the activity, customers, operating locations and staffing model. Check foreign-investment eligibility and any regulator, Saudi-partner, qualification or capital requirement.

    Complete investment registration

    Prepare the MISA file, which may include foreign-company records, constitutional documents, financial information, activities, ownership, capital and representative details.

  3. 03

    Choose the structure, name and management

    Select the legal form, shareholders, management and commercial name. Keep these details consistent across MISA, incorporation, banking and government records.

  4. 04

    Prepare the Articles of Association

    Company Articles record key ownership, capital and management rules. A branch instead requires authenticated parent-company documents and an approving resolution.

  5. 05

    Incorporate through the Saudi Business Center

    The Saudi Business Center provides a company-incorporation service for investors holding an investment registration certificate. Listed service charges and VAT apply separately from wider setup costs.

    Obtain the CR and activity licences

    After incorporation, the entity receives its Saudi Commercial Registration. Municipal, professional or sector-specific approval may still be required before regulated operations begin.

    Register the official business address

    A valid CR is required for the Saudi Business Center’s official business-address service. Address costs and premises conditions depend on the register and municipality requirements.

    Complete ZATCA registration

    Tax setup can include income tax, zakat, VAT and e-invoicing obligations. Thresholds and treatment depend on ownership and business circumstances.

    Activate Qiwa and GOSI requirements

    Qiwa manages contracts, work permits, transfers, occupations and work visas. GOSI manages establishment and contributor records. Recruitment eligibility also depends on Nitaqat and Saudisation status.

    Saudi banks conduct independent KYC and beneficial-owner checks. Investment registration and a CR do not guarantee account approval. Immigration steps must also be planned according to each person’s role and status.

The VAT registration threshold is generally SAR 375,000, with voluntary registration from SAR 187,500. VAT-registered resident taxpayers must also assess e-invoicing requirements.
