Meaning
MOA notarisation is the formal authentication of a company document by an authorised notary.
For relevant commercial-company applications, the Ministry of Industry and Commerce reviews the draft through Sijilat before notarisation and remaining licensing steps.
Notarisation does not replace Commercial Registration or activity licensing. Final decisions remain with the Ministry and relevant regulators.
Coverage
Depending on the company type, the constitutional document may address the points below. The draft should match the Sijilat application, resolutions and ownership records.
Drafting route
A template may suit a straightforward transaction, while tailored terms may be appropriate for a joint venture. Confirm that the chosen route matches the transaction.
Sijilat publishes resolution and amendment templates for several legal forms. A template may suit a prescribed or simple transaction.
Customised governance may be appropriate for a joint venture or a more complex ownership arrangement.
Used when changing activity, capital, name, term or the company contract after the company already exists.
The process
The sequence varies by legal form. Further evidence may be requested. This is a typical path — not a guaranteed timeline.
Identify the correct constitutional document.
Check the name, owners, capital, managers and signatory powers.
Obtain the required partners’, shareholder or board resolution.
Use the relevant template or prepare compliant tailored terms.
Include the draft and supporting evidence in the application.
Respond to comments and correct inconsistencies.
Complete the applicable public, private or electronic notary process.
The notary verifies identity, authority and transaction documents.
Finalise any remaining capital, fee or licensing steps.
Checklist
Individual parties may need identity documents and evidence of signing authority. For a corporate shareholder or party, the file may include the items below.
Requirements can vary depending on the legal form, transaction and responsible authority. Foreign-company branches may need additional certified parent-company documents. Check the exact Sijilat transaction rather than using a universal checklist.

Authority
A notarised power of attorney is commonly required when an unrelated representative acts for an owner or shareholder. Different authorisation rules may apply to registered professional offices, employees or existing authorised signatories.
The power should identify the parties, company, permitted actions and signing limits. The notary may also request company documents, a CR extract and an approving resolution.
Cross-border files
Foreign corporate records may require certification. Confirm the route before sending originals or booking notarisation — requirements are not the same for every document.
Foreign corporate records may need formal certification in the country of issue.
Some documents follow an Apostille route rather than embassy legalisation.
A foreign power of attorney may need Bahrain MFA notarisation.
Relevant documents may also require Arabic translation before use.

Notary options
The Ministry of Justice provides electronic and remote notarisation through licensed private notaries for eligible transactions. Availability depends on the document and identity checks. Confirm eligibility before assuming a remote appointment is possible.
Practicalities
Costs and timing depend on the file. No adviser should promise a fixed fee or completion date. Planning for the items below reduces avoidable delays.

Next step
A consistent draft, supporting resolutions and the right notary route help the transaction move — authorities still decide.
